(1) These Terms of Service (“Terms”) govern the use of the AuraClip software-as-a-service platform for AI-assisted creation of video clips (the “Service”) at auraclip.io. The Service is provided by Burhan Sahin, SHN Studio - AuraClip, c/o Online-Impressum 10510, Europaring 90, 53757 Sankt Augustin, Germany (the “Provider”, “we”).
(2) The Service is offered to consumers within the meaning of § 13 of the German Civil Code (BGB) and to businesses within the meaning of § 14 BGB (together “Users”). Section 12 additionally applies to businesses.
(3) Deviating, conflicting or supplementary terms of the User do not become part of the contract unless we expressly agree to them in text form.
(1) Paid plans are sold by our reseller Paddle.com. Paddle is the seller (Merchant of Record) and therefore the contracting party for the purchase of the subscription; for buyers in the EU this is usually Paddle.com Market Limited, 30 Old Bailey, London EC4M 7AU, United Kingdom. Paddle processes the payment, issues the invoice, calculates sales tax and is the first point of contact for questions about payments, invoices and refunds.
(2) The purchase is governed by Paddle’s Buyer Terms. These Terms govern the use of the Service itself and apply between the User and the Provider.
(1) By registering a user account, a free contract for the use of the Service is concluded between the User and the Provider, including the trial video (§ 5 (3)).
(2) A paid plan is booked as follows: the User selects a plan and billing interval on the pricing page, confirms the contract details in the following dialog and is taken to Paddle’s checkout. There, the User enters payment details and can review and correct all entries via the input fields or the browser’s back function before submitting. By clicking the order button the User submits a binding offer; the contract is concluded upon confirmation by Paddle. The Provider then activates the booked plan in the user account.
(3) The Provider does not store the contract text separately. The current Terms are always available at auraclip.io/en/agb; the User receives the order details by email from Paddle.
(4) The contract language is German. This English version is provided for convenience only; in case of discrepancies the German version prevails.
(1) The Service may only be used by persons aged 18 or older. By registering, the User confirms being at least 18 years old.
(2) The User provides truthful and complete information when registering and keeps it up to date.
(3) Login credentials must be kept secret and protected from access by third parties. The User is liable for activities carried out using the account unless the User is not responsible for the misuse.
(4) The user account is personal and non-transferable. Businesses may let their employees use the Service; they are responsible for their employees’ actions.
(5) The User can delete the account at any time in the account settings. A running subscription must be cancelled separately (§ 8).
(1) The Service uses artificial intelligence (AI) to create short vertical video clips with subtitles from longer videos, which the User can edit in the editor and download. Videos can be uploaded as a file or imported as a VOD from the User’s own Twitch channel; for this, the User connects the Twitch account. Only VODs from this channel can be imported.
(2) The scope of each plan (in particular the monthly minute quota, maximum file size, export resolution and available layouts) is set out in the pricing overview at the time of the order. The length of the uploaded or imported source video is deducted from the quota, regardless of how many clips are created from it. The quota applies per calendar month of the term, including annual subscriptions; unused minutes expire at the end of each month. If processing fails, the minutes deducted for it are credited back automatically.
(3) Without a paid plan, the User can process one trial video of up to 15 minutes. Clips from the trial video are created with a watermark and have the features of the smallest plan (Eco).
(4) Retention periods: the uploaded or imported source video and its transcript are deleted 48 hours after processing is completed. Until then, clips can be edited and re-exported in the editor. Finished clips are available for download for 14 days after they are created and are deleted afterwards. The User is responsible for downloading clips in time.
(5) We use external service providers for processing, in particular for transcription (AssemblyAI, with OpenAI as fallback) and highlight selection (Anthropic, with OpenAI as fallback). Details are set out in the privacy policy.
(6) We strive for high availability of the Service but do not guarantee uninterrupted availability. Maintenance, security updates or disruptions at third parties (e.g. Twitch, AI providers, hosting) may cause temporary interruptions.
(7) We may further develop the Service and change features, provided the core of the contractually owed service is preserved and the change is reasonable for the User. For consumers, § 327r BGB additionally applies.
(1) The prices at the time of the order apply. Prices for consumers in the EU are final prices including VAT. Paddle calculates tax according to the rules of the respective country; for businesses with a valid VAT ID the reverse charge procedure may apply.
(2) Subscriptions are billed monthly or annually in advance and renew automatically for the chosen term unless cancelled beforehand.
(3) Plans can be changed at any time on the pricing page. A change that costs more today (upgrade) takes effect immediately; the difference for the rest of the term is charged on a prorated basis and shown before the change. A change to a cheaper plan or interval (downgrade) takes effect at the end of the paid term; until then the previous plan remains usable, and there is no credit for the current period. A scheduled downgrade can be undone until it takes effect.
(4) If a payment fails, we may suspend access to paid features until payment is made.
Consumers have a statutory right of withdrawal. Since Paddle is the seller, withdrawal and refunds are governed by Paddle’s Buyer Terms and Refund Policy as well as mandatory statutory provisions. Details and the procedure are set out on our page Withdrawal & Refunds.
(1) The User can cancel the subscription at any time with effect from the end of the current term, in particular via the “Cancel contracts here” button at auraclip.io/en/kuendigen, via subscription management or in text form (e.g. by email to support@auraclip.io). The plan remains usable until the end of the term.
(2) The right of both parties to terminate for good cause remains unaffected. Good cause exists for us in particular if the User materially violates § 9.
(3) The User can end the free usage contract at any time by deleting the account; we can terminate it with two weeks’ notice as long as no paid subscription is running.
(1) The User is solely responsible for all video and audio content the User uploads, imports or releases for processing (“Content”).
(2) The User warrants holding all necessary copyrights, trademark rights, personality rights and other rights to the Content. For Twitch VODs, the User warrants being the owner of the channel or having the rights holder’s permission. If other people can be seen or heard in the Content, the User warrants that they have consented to the processing and publication where required.

(4) The User indemnifies us against claims asserted by third parties against us due to an infringement of their rights by the User’s Content for which the User is responsible, including reasonable costs of legal defence.
(5) The User grants us the non-exclusive rights to the Content that are necessary to provide the Service (storing, transcribing, analysing, cutting, rendering), limited to the retention periods set out in § 5 (4). We do not use the Content for our own purposes or to train AI models.
(1) To the extent the Provider holds rights to the generated clips, the Provider grants the User a non-exclusive, worldwide and perpetual right to use, edit, reproduce and publish the clips, including for commercial purposes. Clips from the trial video may only be used with the watermark.
(2) Highlight selection, subtitles and the “Hook” score are based on AI and may contain errors. The User reviews clips before publishing them. We give no guarantee for the reach or success of the clips.
(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of any guarantee we have given.
(2) In the case of a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract. Essential contractual obligations are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the User may regularly rely. Otherwise, liability for slight negligence is excluded.
(3) We are liable for loss of data only to the extent that it would also have occurred had the User backed up the data in time; please note the retention periods in § 5 (4).
(4) The statutory rights of consumers regarding defects of digital products (§§ 327 et seq. BGB) remain unaffected.
(1) Towards businesses, liability under § 11 (2) is additionally limited per contract year to the amount of fees paid in that period, unless a case under § 11 (1) applies.
(2) If the User is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from this contract is the Provider’s place of business.
(1) We may amend these Terms with effect for the future if there is a valid reason, such as a change in the law or new features of the Service. We will notify changes by email at least six weeks before they take effect.
(2) For a running subscription, the amended Terms only apply if the User agrees to them. If the User does not agree, the previous Terms continue to apply until the end of the current term; both parties may then cancel the subscription at that time.
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection of mandatory provisions of the country in which they have their habitual residence.
(2) We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
(3) Should any provision of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.
